Terms and Conditions
1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the PromptsPilot software as a service platform, websites, mobile applications, APIs, and related services (collectively, the “Service”). The Service is provided by Isalo Sweden AB, company number 559508 9854, Liljevägen 4, 181 28 Lidingö, Sweden (“PromptsPilot,” “Company,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. Your use of the Service is also subject to our Privacy Policy.
2. Eligibility & User Categories
- Business Users (B2B). You represent that you are duly authorised to bind the company or other legal entity on whose behalf you use the Service.
- Consumer Users (B2C). You must be at least 18 years old and have legal capacity to enter into contracts. Swedish Distance Contracts Act (Distansavtalslagen) and other mandatory consumer protections apply where relevant.
3. Account Registration & Security
You must provide accurate information, keep your credentials confidential, and notify us immediately of unauthorised use. Business Users must register and maintain their account using a corporate email address that clearly identifies their organisation (e.g., jane.doe@company.com). Personal email domains such as Gmail, Outlook, or Yahoo may not be used for Business accounts. You remain responsible for all activity under your account.
4. Service Description
PromptsPilot is an AI powered research agent that allows you to define lists (“who”), prompts (“what”), and schedules, and then automatically generates executive level research reports summarising public web data (collectively, “Output”).
5. Plans, Pricing & Payment
The fees for the Service are the amounts shown on our Pricing Page or in an executed Order Form (each, a “Fee Schedule”). We may update a Fee Schedule from time to time. All fees are exclusive of VAT and will be billed in accordance with the plan and billing cycle you select. Payments are processed by our third party payment provider, and you authorise all recurring charges in advance. Collection and processing of payment information are governed by our Privacy Policy.
6. Licence
We grant you a non exclusive, non transferable, worldwide, revocable right to access and use the Service for your internal business or personal purposes, subject to these Terms.
7. User Content
“User Content” means prompts, lists, data, files, or other materials you submit to the Service. You retain all rights in your User Content. You grant PromptsPilot a worldwide, royalty free licence to host, process, and index User Content solely to provide and secure the Service. We will not use User Content to train or fine tune AI models or for any unrelated product development.
8. AI Output & Accuracy Disclaimer
The Service uses large language models and other AI techniques. Output is generated algorithmically and may be inaccurate, incomplete, biased, or offensive. All Output is provided “as is” for informational purposes only and should not be relied on as professional advice. You are solely responsible for verifying any Output before using or sharing it.
9. Acceptable Use
You must not:
- violate any applicable law;
- infringe or misappropriate intellectual property rights;
- attempt to reverse engineer, decompile, or extract source code or model weights of the Service;
- use the Service, any Output, or any derivatives thereof to build, train, test, benchmark, or otherwise develop a product or service that competes—directly or indirectly—with PromptsPilot;
- submit personal data to the Service without a lawful basis; or
- use the Service in high risk contexts (e.g., medical diagnosis, legal advice) without appropriate human oversight.
10. Intellectual Property
All intellectual property in the Service (software, logos, databases, documentation) is and remains our property or that of our licensors. Except for the limited licence granted above, no rights are transferred.
11. Confidentiality
Each party must protect confidential information disclosed by the other and use it only to perform obligations under these Terms.
Client References. You grant PromptsPilot a non exclusive, worldwide, royalty free licence during the term of this Agreement to identify you as a customer and to display your name, trade name, and logo on our website, presentations, case studies, and other marketing materials. You may withdraw this permission at any time by giving us written notice, in which case we will cease such use within thirty (30) days.
12. Data Protection & Privacy
For full details on our personal data practices, please see our Privacy Policy, which forms part of these Terms by reference and prevails over this Clause in the event of conflict.
- Roles. PromptsPilot is processor for User Content and controller for account data; you are controller of User Content.
- Your Duties. You must have a lawful basis for any personal data you upload and configure the Service to meet your compliance needs.
- Our Safeguards. We maintain reasonable technical and organisational measures designed to protect Personal Data in accordance with applicable law, including Article 32 of the GDPR.
- Sub processors. You consent to our use of vetted sub processors. We remain liable for their acts and will give 15 days' prior notice of any material change.
- Transfers. When moving personal data outside regulated regions, we use recognised mechanisms such as EU Standard Contractual Clauses or the UK IDTA.
- Incidents. We will notify you without undue delay of any personal data breach affecting your User Content.
- Disclaimer. Except as expressly stated in this Clause 12, we provide no additional privacy or security warranties.
- Usage Analytics. We may collect and analyse usage metrics (e.g., feature interactions and performance data) in aggregated or anonymised form to improve and market the Service. These metrics do not include User Content, as described in our Privacy Policy.
- No Model Training on User Content. We do not use User Content to train or fine tune large language models or other AI systems, except transiently to generate your requested Output.
13. Third Party Services
The Service may incorporate third party APIs, search engines, or AI models. Your use of such third party services is subject to their terms. PromptsPilot is not responsible for third party content.
14. Suspension & Termination
We may suspend or terminate your access immediately if you breach these Terms, violate law, or risk harm to the Service. You may terminate at any time via your account dashboard. Upon termination, your licence ends, and we will delete or anonymise User Content within 30 days, unless required by law.
15. Warranties & Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, and non infringement. We do not warrant that the Service will be uninterrupted, error free, or secure.
16. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or in connection with the Service will not exceed the lesser of (a) €100 or (b) the amounts you paid us in the 12 months before the event giving rise to liability, except that this cap does not apply to you if you are a consumer where such limitation is prohibited by mandatory law. We are not liable for indirect, consequential, special, punitive, or incidental damages, nor for any loss of data, profits, or business.
17. Indemnification
You agree to indemnify and hold harmless PromptsPilot, its officers, directors, employees, and affiliates from any claims, damages, or expenses (including legal fees) arising from your (a) breach of these Terms, (b) User Content, or (c) misuse of the Service.
18. Compliance & Export
You must comply with all applicable laws, including EU and U.S. export control, trade sanction, and anti bribery regulations. You represent that you are not located in an embargoed country or on any sanctions list.
19. Changes to Terms
We may modify these Terms or our Privacy Policy to reflect changes to the Service, legal requirements, or our operations. We will notify you of material changes at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
20. Governing Law & Dispute Resolution
- Governing Law. These Terms and any dispute or claim (contractual or non contractual) are governed by Swedish substantive law.
- Good Faith Negotiations. Before commencing formal proceedings, a party must give written notice of the dispute and both parties will attempt in good faith to resolve it within 30 days.
- Exclusive Venue. Failing resolution, the dispute shall be brought exclusively in the Stockholm District Court, and the parties irrevocably submit to its personal jurisdiction and waive any objections to venue or inconvenient forum.
- Time Bar. Any claim or cause of action arising out of or related to the Service must be filed within 3 months after it arose (or, if a longer period is mandatorily required by applicable law, within that minimum required period), or it is permanently barred.
- No Class Actions. Disputes must be resolved on an individual basis; the parties waive any right to participate in a class, collective, or representative action.
- Mandatory Local Rights. Nothing in this Clause 20 limits any non waivable statutory rights or remedies available under applicable consumer protection laws.
21. Entire Agreement
These Terms, together with any Order Forms, and our Privacy Policy (provided for information purposes), constitute the entire agreement between you and PromptsPilot.
